Brian Testo Associates, LLC is pleased to announce the stalking horse intellectual property auction of assets from 3DEO, Inc. — a Los Angeles-based metal additive manufacturing company and developer of Intelligent Layering®, a patented production-proven process for small, complex metal parts.
Insolvency Services Group, as the assignee for the benefit of creditors of 3DEO, Inc., is soliciting offers for the purchase of substantially all of the intellectual property assets of the Company by auction in connection with an assignment for the benefit of creditors under California law.
INVESTMENT HIGHLIGHTS
3DEO was founded on the vision of becoming the premier metal 3D printing parts service, successfully combining mass-production metal 3D printing capabilities with multidisciplinary design and product development expertise.
3DEO developed the award-winning Intelligent Layering®, a patented metal additive manufacturing process that combines binder jetting with layer-by-layer CNC milling to produce small, geometrically complex metal parts with tighter tolerances (±0.002″) and finer surface finish (100 Ra) than conventional binder jetting or laser powder bed fusion. The Assets for sale represent a complete IP portfolio, including patents, trademarks, proprietary process know-how, trade secrets, software, qualified materials data, and a customer-validated design library.
In addition to the proprietary process know-how, the Assets include sintering profiles, shrinkage compensation models, and mechanical property data across four qualified alloys — together with proprietary slicing and cutting-path-generation software and a design library built through direct customer collaboration across the semiconductor, aerospace, and medical markets.
SALE DETAILS
The Assignee has received a stalking horse offer in the amount of $3,426,507 (the “Stalking Horse”) which is an offer for the entirety of the IP and certain machinery & equipment. Other prospective bidders are invited to submit overbids for the Assets (each a “Qualified Overbid”). To be a Qualifying Overbid, a Qualifying Overbid must: (a) be received by Assignee at or before 12:00 p.m. PST on August 12, 2026; (b) be in form and substance substantially similar to the Stalking Horse; (c) propose a purchase price equal to or greater than the Qualified Overbid amount specified in the bid instructions; (d) be accompanied by an earnest money deposit of not less than 10% of that price; and (e) be accompanied by evidence of the bidder’s ability to close. In the event one or more Qualified Overbids are received, the highest and best bid will be determined by a live auction conducted by Zoom on or before August 14, 2026. Interested parties must meet U.S. export control requirements, execute a non-disclosure agreement in order to receive access to diligence materials and the Stalking Horse Offer.

Live Auction: If one or more qualifying higher bids are received by the deadline, the Auctioneer will commence a live auction via Zoom on Friday, August 14, 2026 at 12:00 noon (Pacific), beginning with the highest bid received and proceeding in $50,000 increments
